2024 Board Meetings
We will have four (4) board meetings in 2024 as guided by our declarations:
- March 6 - Annual Meeting, Wednesday at 6:30p
- June 5, Wednesday at 6:30p
- September 4, Wednesday at 630p
- December 4, Wednesday at 630p
Annual Meeting
The annual meeting is the most important to attend for many reasons.
- Elect one or two board directors (depending on the year) which requires a quorum of 10% of the neighborhood (49 homes) who can be in person or via proxy. If you cannot attend than please provide a proxy to insure we have a quorum.
- Review results from the prior year and discuss the plans for the current year.
- After the meeting, the board will go into executive session and vote among themselves for officer positions - President, Vice President, Secretary, Treasurer and At large. All are invited to listen.
Strategic and fiscal decisions for our HOA are made by your neighbors – the five homeowners you elect to represent you on the PHN Board of Directors. Two board positions are up for election in the March annual meeting, so now is a good time to reflect on what is asked of the board members and what they are requested to perform as a part of their position.
These volunteers devote their time and energy to the Board for a variety of reasons, including:
- Maintain and improve our amenities
- Preserve common areas - trees & landscaping
- Protect our curb appeal by upholding standards
Our directors face a variety of situations during their terms as board members and are entrusted with the care, protection, and enhancement of the property values of others and they have a fiduciary duty of loyalty to the entire community.
Beyond acting in good faith for this volunteer position, candidates should consider the time requirements, understand the candidate guidelines and answer the candidate questions:
Time Commitment
- Term is three years
- Attend quarterly board meetings, workshops, ad-hoc meetings, and head committees
- Timely addressing of director business email/ text
- Assess maintenance needed to common areas
- Solicit bids, meet vendors, evaluate and select bids, supervise work and inspect results
- Ensure and be responsive to input from the community via official channels
- Review and approve financials
Candidate Guidelines
- Act in good faith for the Association’s best interests. Consider what is best for all members.
- Act with appropriate care and caution, seeking advice from experts when appropriate.
- Act within scope of authority. Board members must be thoroughly familiar with our HOA’s governing documents, which outline the requirements and prohibitions of their position.
Prevent personal gain. Board members should not take personal advantage of business opportunities related to association affairs, engage in HOA business that is a conflict of interest, nor accept gifts from vendors seeking to do business with the association.
